1. Agreement

By creating a Tradespal account or using our services you agree to these Terms of Service (“Terms”). If you do not agree, do not use Tradespal. These Terms form a binding contract between you (“User”, “you”) and Tradespal (“we”, “us”, “our”), operated from the United Kingdom.

You must be at least 18 years old and legally able to enter into contracts in your country of residence. By using Tradespal you confirm that you meet these requirements.

Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date. By subscribing you authorise us to charge your payment method on file on the same recurring basis. You will receive a reminder email at least 7 days before each annual renewal.

We do not offer refunds for partial billing periods except: (i) where required by applicable consumer protection law; (ii) if Tradespal experiences a material service failure for which we are responsible; or (iii) at our sole discretion. 5e. Price changes

We reserve the right to change pricing with 30 days’ written notice by email or in-app notification. Continued use after the effective date constitutes acceptance of the new price. Annual subscribers are protected at their locked rate for the remainder of their annual term.

5f. Free plan

The free plan is subject to usage limits (e.g. quotes and invoices per month). We may change free plan limits at any time with reasonable notice. A free trial of a paid plan (where offered) is non-transferable and limited to one per person and business.

6. Your data

You own all data you input into Tradespal: your customer records, quotes, invoices, and other business data. By using Tradespal you grant us a limited, non-exclusive licence to store, process, and display that data solely to provide the Service to you.

We do not sell your data to third parties and do not use your business data to train AI models. See our Privacy Policy for full details.

7. Data processing : your responsibilities and ours

Important: data roles under GDPR / UK GDPR: For the personal data of your customers that you enter into Tradespal (names, emails, phone numbers on quotes and invoices), you are the data controller and Tradespal is your data processor. This section sets out our Article 28 obligations as your processor.

7c. Data Processing Addendum (DPA)

These Terms, together with our Privacy Policy, constitute the Data Processing Addendum (“DPA”) between you (as controller) and Tradespal (as processor) for the purposes of Article 28 UK GDPR and Article 28 EU GDPR. If you require a separately executed DPA (e.g. for enterprise compliance purposes), email privacy@tradespal.co.

8. Customer communications

Tradespal enables you to send emails and SMS messages to your customers. You are solely responsible for:

We are not liable for any claim arising from messages you send to your customers via Tradespal.

9. Public invoice and quote links

When you send an invoice or quote, Tradespal generates a unique, unguessable link that allows your customer to view the document and pay online without logging in. You are responsible for the security of these links once sent. We are not liable for unauthorised access resulting from you sharing a link with the wrong recipient.

10. Stripe payments and Stripe Connect

Payment processing is provided by Stripe. By accepting payments through Tradespal you also agree to Stripe’s Connected Account Agreement and Services Agreement. Tradespal is not responsible for payment failures, chargebacks, or Stripe account suspensions.

11. Accounting integrations (Xero, QuickBooks, FreeAgent)

These integrations are entirely optional. By connecting an accounting platform you:

Disconnecting an integration revokes Tradespal’s access and deletes your stored OAuth tokens. Data already synced to the platform must be managed within that platform.

12. AI features

AI pricing suggestions are provided as guidance only and do not constitute professional financial or business advice. Exercise your own judgement before relying on any AI-generated output. We are not liable for any loss or damage resulting from your reliance on AI suggestions.

12b. Analytics and advertising technologies

We use Google Analytics and the Meta (Facebook) Pixel on our website to measure usage and to run advertising campaigns. By visiting tradespal.co and accepting non-essential cookies, you consent to these technologies being used in accordance with our Privacy Policy (Section 12). You may withdraw consent at any time via the cookie preferences banner or your browser/device settings.

13. Intellectual property

Tradespal and all its content, features, and functionality are owned by us and protected by UK and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

14. Security

We implement industry-standard technical and organisational security measures including TLS encryption, hashed passwords, row-level database security, and encrypted storage of OAuth tokens. However, no system is completely secure. You are responsible for keeping your account credentials safe.

15. Disclaimer of warranties

Tradespal is provided “as is” and “as available.” We make no warranty that the service will be uninterrupted, error-free, or fit for any particular purpose. To the fullest extent permitted by applicable law, we disclaim all implied warranties.

16. Limitation of liability

To the maximum extent permitted by law, Tradespal’s total aggregate liability for any claim arising under these Terms shall not exceed the greater of: (a) the total fees you paid to us in the 12 months immediately before the claim arose; or (b) £100 GBP.

We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

17. Indemnity

You agree to indemnify, defend, and hold harmless Tradespal and its officers from any third-party claims, damages, costs, or losses arising from: your use of the Service; your breach of these Terms; your violation of applicable law or any third party’s rights; or any communications you send through the Tradespal platform to your customers.

18. Termination

We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or if required by law. You may close your account at any time from Settings → Account. On termination, your data will be handled in accordance with our Privacy Policy.

19. Changes to these Terms

We may update these Terms from time to time. We will give at least 14 days’ notice of material changes by email or in-app notice before the effective date. Continued use of Tradespal after the effective date constitutes acceptance of the updated Terms.

20. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that nothing in this clause limits your right to bring a claim in the courts of any other jurisdiction in which you are resident.

If you are a consumer in the EU, you may also have the right to submit a dispute to an online dispute resolution platform at ec.europa.eu/consumers/odr.
